Our client is a publicly traded biotechnology company. As the organization looks to the future, they are seeking to attract a Board Director that will bring robust governance experience and the deep financial expertise required to, in a relatively short period of time (at least one quarter), Chair the company’s Audit Committee.
The Board Director will bring a strong financial leadership background (Accounting designation preferred), ideally but not required, from within the Biotechnology, Pharmaceutical or Life Sciences industry.
Ideally, the Board Director will have demonstrated a superior track record as a Chief Financial Officer or similar capacity in a senior financial or executive leadership position within a US publicly traded organization.
Capital markets, financing transactions and M&A experience are of strong interest, including prior experience as a member and/or Chairperson of an Audit Committee. Moreover, the Board Director will bring a breadth of prior public board experience inclusive of working with early-stage growth companies through critical value inflection points.
LOCATION
The Board Director can be based anywhere in United States, with a strong preference for a successful candidate to be located in the EST time zone. Board meetings, including the AGM have historically been completed via Videoconference.
EXPECTED TIME COMMITMENT
The annual commitment consists of 4 scheduled Board meetings and 1 AGM. Additionally, there will be at minimum 4 Independent Director meetings per year and 5-6 Audit Committee meetings.
All current Board Directors sit on at least two committees. Additional time for committee meetings and necessary preparation must also be factored into the required time commitment.
It must be noted that the company is in a critical stage of development and as a result, this will require flexibility in scheduling availability, oftentimes for ad-hoc meetings scheduled within condensed timeframes.
